Montana Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Montana, you're considered a "foreign" entity in Montana — and you'll need to register here through a process called foreign qualification. A required step in that process is naming a Montana registered agent.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Montana is a "foreign LLC" from Montana's perspective. The same applies to corporations and other entity types.

Montana's rule, MCA 35-8-1001, is that an out-of-state LLC needs its certificate of authority in hand before transacting business here. Plenty of activity is excluded, from interstate commerce and one-off deals closed inside a month to bank accounts, owner meetings, and sales made through outside contractors. Watch for two Montana twists, though. Taking on government work, under contract with Montana, one of its agencies, or a city or county, counts as transacting business. And Montana's business help desk advises that having a remote employee working from inside the state generally triggers registration.

What a Montana Registered Agent Does for a Foreign Entity

Operating without authority runs up a daily tab: the attorney general can collect $5 per day, capped at $1,000 per year. Montana courts also stay closed to the company's own lawsuits until it registers, and any state contract it signed can be voided. Everything else it did still stands, and defending a claim is allowed.

How to Foreign-Qualify in Montana

The general process for registering an out-of-state entity in Montana:

1. Confirm you exist at home. The statute has your application state that your LLC complied with its home state's organization laws and exists there; it doesn't list a certificate to attach.

2. Designate a Montana registered agent. You can use a commercial registered agent service or appoint an individual who lives in Montana.

3. Apply online for a certificate of authority ($70). Montana's Secretary of State is online-only: sign in at the business portal, choose the foreign forms, and pay by card or e-check. Priority handling is $20 for 24 hours or $100 for one hour. If your name isn't usable here, add an LLC ending or file an assumed business name for $20.

4. Send in your annual report each spring. The first one is owed by mid-April of the next year (April 15), with filing open from January 1. The on-time fee has been waived for 2026 and 2027; a late report costs $35.
