Montana Registered Agent Requirements

Montana registered agent representation, billed at $99 per year. Includes the office address on your filings, same-day scanning of legal mail, and reminders for state deadlines.

A registered agent is the person or company appointed to receive service of process, state notices, and other official mail for your Montana business. Every LLC and corporation on file with the Montana Secretary of State maintains one, and the rules for the role come from a statute Montana adopted almost word for word from a national model law.

For $99 per year, we provide professional registered agent service with same-day document scanning, compliance alerts, and privacy protection.

What Does a Registered Agent Do?

Your registered agent serves as the official point of contact between your business and the Montana Secretary of State, courts, and other legal entities. Their responsibilities include:

Receiving Legal Documents: When your business is served with a lawsuit, the documents go to your registered agent. They accept service of process on your behalf and get a scanned copy into your hands immediately.

Handling State Correspondence: The Montana Secretary of State sends important notices to your registered agent, including annual report reminders, compliance alerts, and updates about your business status.

Accepting Tax Notices: Official tax documents and notices from state agencies are delivered to your registered agent address.

Maintaining Availability: Your registered agent should be reachable at the registered office address during the business day, so that time-sensitive legal matters don't go unnoticed.

Providing a Stable Address: Even if your business moves locations or you travel frequently, your registered agent maintains a consistent address where official correspondence can be reliably delivered.

The Statute Behind the Role: Montana's Model Registered Agents Act

Montana's registered agent law is the Model Registered Agents Act, codified at Mont. Code Ann. Title 35, chapter 7, sections 35-7-101 through 35-7-117. Three sections matter most in practice:

Appointment (§ 35-7-105): this is the provision under which your entity designates its registered agent in state filings.

Definitions (§ 35-7-102): the statute recognizes two kinds of agents, commercial and noncommercial, and defines a noncommercial registered agent as an individual or a domestic or foreign entity that serves in this state as the agent for service of process of an entity.

The address rule (§ 35-7-104): filings that name an agent must state "an actual street address or rural route box number in this state." A PO box on its own does not satisfy the statute, which is why every registered agent, ourselves included, lists a real Montana street address.

Montana law gives you two options:

A commercial registered agent. These are professional agents, like us, that have filed a listing statement with the Secretary of State under § 35-7-106. Appointing one is simple because the state already has the agent's information on record.

A noncommercial registered agent. Any individual or business entity with a Montana street address can be named directly in your filing. In practice this is often an owner, a member or manager, an attorney, or another trusted contact located in the state.

Either way, the agent needs a real street address in Montana and should be reliably reachable there during the business day, because that is where lawsuits and state notices get delivered.

Can I be my own registered agent in Montana?

If you are an individual with a Montana street address, you can serve as the registered agent for your own LLC or corporation. Owners, members, and managers take on the role all the time. Before you do, weigh the practical tradeoffs:

Privacy: Your name and street address go on the public record with the Montana Secretary of State, where anyone can look them up. Expect solicitation mail to follow.

Availability: You become the person who needs to be present at that address during the business day, every business day. Travel, off-site work, or irregular hours all create windows where a document could be missed.

Awkward Deliveries: Process servers don't schedule appointments. Being handed a lawsuit at home or in front of clients is an experience most owners would rather skip.

Who Needs a Registered Agent in Montana?

If your business falls into any of these categories, you'll need a registered agent:

Montana LLCs: Every limited liability company formed in Montana designates a registered agent when filing formation documents with the Montana Secretary of State.

Montana Corporations: Both C corporations and S corporations operating in Montana need a registered agent from the day they're formed.

Foreign Entities: If you formed your business in another state but are registered to do business in Montana, you'll need a Montana registered agent to maintain compliance here.

Professional Entities: Professional LLCs and professional corporations also follow the registered agent requirements.

From the moment you file your formation documents, your registered agent information becomes part of your public business record with the Montana Secretary of State.
